A good preparation is essential on both sides!

To make sure that you will receive the right price on the sell-side and to be on the safe side in case of buying, some preparation is needed. A potential buyer expects a 100% transparent company. This includes to see the earnings, the customer structure, costs and especially how the company earns money from their business. Those figures must be correct and consistent to prevent misunderstandings and different expectations, leading to a lawsuit in the worst case. But it is also important to figure out the potential of the company's business to achieve a price which compensates for this. This is all needed, so that the buy-side can really understand the seller's company.

That should be clear, of course, but it is interesting how often this does not really happen.
